Provider Identification

These Terms & Conditions (“Terms”) are issued by VaultWise Australia, a boutique consultancy providing expert-led education and guidance on digital asset security, self-custody, private Bitcoin node setup, and inheritance planning. References to “VaultWise”, “we”, “us”, or “our” refer to VaultWise Australia. By engaging our services, you (“Client”, “you”) agree to be bound by these Terms, forming a binding legal agreement. If you do not agree, please do not use our services.
VaultWise provides technical education and support for digital asset security. We are not a bank, exchange, or licensed financial, legal, or tax advisor. You are responsible for consulting relevant professionals and ensuring compliance with applicable laws.

1. Scope of Services

1.1 What We Do
VaultWise offers tailored educational and advisory services to empower clients to securely manage their digital assets, including: Self-Custody Training: Guidance on secure wallet setup, seed phrase protection, and transaction safety for cryptocurrencies like Bitcoin and Ethereum. Private Bitcoin Node Setup: Assistance with installing and configuring Bitcoin full nodes for trustless validation and sovereignty. Multi-Signature & Inheritance Planning: Designing robust custody structures and inheritance plans for long-term asset protection. Security Health Checks: Periodic reviews of your custody setup to address evolving threats and technology updates. Strategic Mentorship: Ongoing advice on privacy, portfolio evolution, and recovery planning, tailored to your needs. Our services are educational and technical, delivered with a focus on privacy and client autonomy, primarily in Sydney, Melbourne, and Brisbane, or online for international clients.

1.2 What We Don’t Do
- Act as a bank, exchange, or custodial service provider. - Hold, manage, or access your digital assets, private keys, or seed phrases. - Provide financial, investment, legal, or tax advice. - Offer ongoing technical support for third-party hardware, software, or platforms. - Guarantee specific outcomes for your digital asset security or portfolio performance. For financial, legal, or tax advice, consult a licensed professional. 1.3 Your Responsibilities
You agree to:
- Maintain full control and responsibility for your digital assets, private keys, seed phrases, and wallets. - Ensure compliance with all applicable laws, including tax and regulatory obligations in your jurisdiction. - Provide accurate information during consultations to enable tailored guidance. - Accept all risks associated with cryptocurrency volatility, technical errors, or third-party platform issues. - Maintain compatible technical setups (e.g., stable internet, appropriate hardware) for our services. 1.4 No Guarantees
VaultWise does not guarantee financial gains, error-free setups, or absolute security of your digital assets. Outcomes depend on your implementation, technical environment, and adherence to best practices. We are not liable for losses due to market conditions, client errors, or external factors (e.g., protocol changes or third-party tool failures).

2. Service Delivery

2.1 Scheduling
Sessions (online or in-person) must be scheduled in advance, with duration and scope agreed upon prior to commencement. Cancellations or rescheduling require at least 48 hours’ notice. Failure to provide notice or missing a session may result in forfeiture of the session or a fee of AUD 400 per hour, deducted from prepaid amounts. You must have basic technical capabilities (e.g., stable internet, compatible devices) for effective participation. 2.2 Service Limits Each service has a defined duration, as agreed in advance. Unused session time is non-transferable and non-refunded. Additional work due to unforeseen technical complexities may incur charges of AUD 400 per hour, billed in 30-minute increments, with prior client approval. 2.3 Third-Party Tools
VaultWise may recommend third-party hardware or software (e.g., hardware wallets, node software) but does not guarantee their performance, security, or compatibility. You are responsible for procuring and maintaining these tools.

3. Eligibility and Client Conduct

To use our services, you must:
- Be at least 18 years old or have guardian consent if younger. - Be authorised to represent your entity, if applicable. - Provide accurate information and maintain compatible technical setups. - Comply with all applicable laws and regulations. Client Conduct:

You agree not to engage in fraudulent, abusive, or unlawful behaviour, including attempting to misuse, hack, or reverse-engineer our services or materials. VaultWise reserves the right to refuse or terminate services immediately, without refund, if you violate this clause or if we deem your conduct detrimental to our operations.

4. Fees and Payment

4.1 Payment Terms
Fees are quoted per service and payable in full upfront via Bitcoin (or other agreed cryptocurrency) to confirm bookings. For cryptocurrency payments, you are responsible for network fees and ensuring correct payment details. Payments are considered received only after blockchain confirmation and verification by VaultWise. You are responsible for any applicable taxes. 4.2 No Refunds
All payments are non-refundable, except at VaultWise’s sole discretion if we fail to deliver the agreed services.
4.3 Fee Adjustments
We may adjust fees at our discretion. The current fee structure applies at the time of booking, and continued use of our services constitutes acceptance of any updated rates.

5. Confidentiality

VaultWise is committed to protecting your privacy and confidentiality:
- All non-public information shared (e.g., consultation details, technical setups) is treated as confidential and will not be disclosed without your explicit consent, except as required by Australian law. - We never request, access, or store your private keys, seed phrases, or sensitive financial data. - Client data is securely stored using encryption and deleted within 30 days of service termination, unless legally required to retain or you request otherwise. Our Privacy Policy provides further details on data handling. Confidentiality obligations survive the termination of services.

6. Intellectual Property

All materials provided by VaultWise, including guides, documents, videos, or training resources, are our exclusive intellectual property. You may use them solely for personal, non-commercial purposes. Copying, distributing, reselling, or using our brand/logo without written permission is prohibited. Any feedback you provide may be used by VaultWise without restriction.

7. Limitation of Liability

To the maximum extent permitted by Australian law:
- VaultWise is not liable for any financial, operational, or technical losses arising from your use of our services, including losses due to client errors, market volatility, third-party tool failures, or external factors. - Our liability is capped at the total fees you paid to us in the six months prior to any claim. - You use our services at your own risk and agree to indemnify VaultWise against claims, damages, or costs arising from your misuse of our services or violation of these Terms. This obligation survives termination of services.


8. Indemnification
To the extent permitted by Australian law, you agree to indemnify, defend, and hold harmless VaultWise Australia, its officers, employees, contractors, and agents from any claim, demand, loss, or costs, including reasonable legal fees, arising from:
- Your breach of these Terms & Conditions or any incorporated documents, such as our Privacy Policy. - Your violation of any applicable law or regulation, including tax or cryptocurrency-related laws in your jurisdiction. - Your misuse or misapplication of the educational guidance, training, or materials provided by VaultWise, including any actions that result in third-party claims. This indemnification obligation survives the termination of services.

9. Termination and Service Modifications

VaultWise may terminate or refuse services at our discretion, with or without cause, including for non-compliance with these Terms or failure to make payment. We may modify, suspend, or discontinue any service at our discretion. If a service is discontinued, we will provide reasonable assistance to transition, but no refunds will be issued. You remain bound by these Terms (e.g., confidentiality, liability) after termination.

10. Changes to Terms

VaultWise may update these Terms at any time. The latest version will be posted on our website with the updated effective date. Continued use of our services after updates constitutes acceptance of the revised Terms.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of New South Wales, Australia. Any disputes arising from these Terms will be resolved through binding arbitration in Sydney, conducted in English under the rules of the Australian Centre for International Commercial Arbitration (ACICA). Each party bears its own costs unless otherwise determined by the arbitrator. Courts in New South Wales have exclusive jurisdiction for injunctive relief to protect our intellectual property or confidential information.

12. Warranties Disclaimer

VaultWise provides services “as is” without warranties of any kind, express or implied. We do not guarantee specific results, security outcomes, or compatibility with third-party tools. Cryptocurrency markets are inherently volatile, and all risks are borne by you.

13. Force Majeure

VaultWise is not liable for delays or failures to perform due to events beyond our control, including but not limited to natural disasters, internet outages, or government actions.

14. Privacy

Our Privacy Policy governs how we collect, use, and protect your data. By using our services, you agree to its terms.

15. Entire Agreement

These Terms constitute the complete agreement between you and VaultWise, superseding all prior discussions or agreements.



16. Assignment
You may not assign this agreement without our written consent. VaultWise may assign it at our discretion.


17. Acceptance
Electronic Acceptance: You may be required to acknowledge these Terms electronically (e.g., via checkbox or email) before services begin. Use of our services constitutes agreement to these Terms, regardless of explicit acknowledgement.
